Agreement to Terms

By accessing or using the Here Is The Pipeline platform ("Platform") operated by Entrepreneurs Of Greatness ("EOG", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

Description of Service

The Platform connects African and Caribbean startups with local and global investors by:

• Collecting and showcasing startup profiles and pitch materials
• Calculating investor-readiness scores based on submitted information
• Matching startups with investors based on criteria alignment
• Facilitating introductions between startups, investors, experts, and partners
• Providing feedback and guidance to improve startup investment appeal
• Sending curated deal flow updates to registered investors

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use this Platform. By using the Platform, you represent and warrant that you meet these requirements.

User Accounts and Submissions

Startup Submissions

When submitting your startup, you agree to:

• Provide accurate, complete, and current information
• Update your information promptly when it changes
• Not misrepresent your company, team, traction, or funding status
• Own or have rights to all materials you submit (pitch decks, videos, etc.)
• Authorize EOG to share your information with investors, experts, and partners
• Not submit confidential information you are not authorized to disclose

Investor Registrations

When registering as an investor, you agree to:

• Provide accurate information about your investment criteria and capacity
• Treat startup information received through the Platform as confidential
• Not use startup information for purposes other than evaluating investment opportunities
• Comply with all applicable securities laws and regulations
• Conduct your own due diligence before making investment decisions

Intellectual Property Rights

Platform Content

The Platform, including its design, features, text, graphics, logos, and software, is owned by EOG and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant EOG a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute your content for the purposes of operating the Platform and facilitating introductions. This license continues even if you stop using the Platform, but you may request removal of your content at any time.

Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose or in violation of any laws
• Submit false, misleading, or fraudulent information
• Impersonate any person or entity
• Harass, threaten, or harm other users
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Interfere with or disrupt the Platform's operation
• Scrape, crawl, or use automated tools to collect data from the Platform
• Use startup information for competitive intelligence or other improper purposes
• Solicit investments outside of proper legal channels

Investment Disclaimer

You acknowledge and agree that:

• Investor-readiness scores are algorithmic assessments, not investment recommendations
• Inclusion on the Platform does not constitute an endorsement or guarantee of success
• You are solely responsible for conducting due diligence before making investment decisions
• Startup investments are high-risk and may result in total loss of capital
• You should consult with financial, legal, and tax advisors before investing
• EOG has no responsibility for the outcome of any introductions or transactions

Limitation of Liability

To the fullest extent permitted by law, EOG and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Investment losses or failed transactions
• Damages arising from use or inability to use the Platform

Our total liability for any claims related to the Platform shall not exceed the amount you paid to use the Platform (if any) in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless EOG and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content you submit to the Platform; or (e) any transactions or relationships between you and other users.

Confidentiality

Information shared through the Platform may be confidential and proprietary. Investors agree to maintain the confidentiality of startup information and use it solely for evaluating investment opportunities. Startups acknowledge that sharing information with investors involves inherent risks and should not disclose trade secrets or highly sensitive information without appropriate protections (e.g., NDAs).

Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. You may stop using the Platform at any time. Upon termination, your right to use the Platform ceases immediately, but provisions regarding intellectual property, confidentiality, disclaimers, and limitations of liability survive termination.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Saint Lucia, without regard to its conflict of law principles.

Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the Eastern Caribbean Supreme Court (ECSC) or through mediation under the Caribbean Court of Justice, except that either party may seek injunctive relief in court for intellectual property infringement or confidentiality breaches.

Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class actions or class-wide arbitration.

Changes to Terms

We may modify these Terms at any time by posting updated Terms on the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EOG regarding the Platform and supersede all prior agreements and understandings.
